General Terms and Conditions (GTC)

Universal Contract Systems UG (limited liability) Status: March 2026

§ 1 Scope of Application

(1) These General Terms and Conditions apply to all contracts regarding the use of the cloud software “UConS” (contract management, automated invoicing, liquidity planning) between us (the Provider) and the customer, provided that the customer is an entrepreneur (§ 14 German Civil Code), a legal entity under public law, or a special fund under public law.

(2) We do not recognize any conflicting or deviating terms and conditions of the customer unless we have expressly agreed to them in writing.

 

§ 2 Description of Services / Subject Matter of the Contract

The subject matter of the contract is the paid provision of the SaaS software “UConS” for use via the internet (Software as a Service), including storage space for customer data (depending on the selected tariff).

§ 3 Registration, Test Phase, Conclusion of Contract

(1) Registration is free of charge and initially provides a 14-day test access.

(2) The paid contract is only concluded when the customer selects a tariff, completes the ordering process, and we accept the order (via email or by activating the account).

(3) Minimum contract term: 6 months (unless otherwise agreed in writing).

 

§ 4 Remuneration and Payment Terms

(1) Remuneration is based on the currently valid price list (monthly or annual billing).

(2) Invoices are due for payment within 14 days net.

(3) In case of late payment, default interest of 9 percentage points above the base interest rate p.a. plus reminder costs will be charged.

 

§ 5 Customer Obligations and Prohibited Use

The customer undertakes in particular:

  • not to upload any unlawful content

  • not to introduce any viruses, malware or other harmful code

  • to keep access credentials secret

  • not to reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the software

§ 6 Availability, Support, Maintenance

(1) Target availability: 99.0% on an annual average (excluding maintenance windows).

(2) Support: Email support (weekdays 9:00–18:00 CET), maximum response time 72 hours.

(3) Planned maintenance work will be announced at least 48 hours in advance.

§ 7 Liability

(1) We are fully liable in cases of intent and gross negligence.

(2) In cases of simple negligence, we are only liable for the breach of essential contractual obligations (cardinal duties), limited to the typically foreseeable damage.

(3) Liability is otherwise excluded to the extent permitted by law.

(4) Liability under the German Product Liability Act remains unaffected.

§ 8 Data Protection & Commissioned Processing

For details, please refer to our separate Privacy Policy.

We conclude a Data Processing Agreement (DPA) pursuant to Art. 28 GDPR with paying customers (provided before the productive start of the service).

§ 9 Contract Term and Termination

(1) The minimum contract term is 6 months. Thereafter, the contract can be terminated with one month’s notice to the end of the month (text form).

(2) The right to extraordinary termination for good cause remains unaffected.

§ 10 Final Provisions

(1) These terms are governed exclusively by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) Place of jurisdiction: Frankfurt am Main (to the extent legally permissible).

(3) Severability clause Should any provision of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
